The legal status of the partner with a stake working in a limited liability company

By referring to the provisions of the Commercial Law after the issuance of Law No. 15-20, amended and complementary to the Commercial Law. It can be said that the Algerian legislator has allowed the possibility of contributing a share of work in a limited liability company, which makes the partner share an active role in controlling the work of the administrators and deciding on the decisions of the General Assembly of the company, with the possibility of determining his responsibility depending on the nature of his fault whether it is a civil or criminal error, and depending on his status in the company whether he is a partner or a manager.

بالرجوع لأحكام القانون التجاري بعد صدور القانون رقم 15-20 المعدل والمتمم للقانون التجاري. يمكن القول أنّ المشرّع الجزائري سمح بإمكانية المساهمة بحصة عمل في الشركة ذات المسؤولية المحدودة، مما يجعله مضطلعا بالدور الفعال في الرقابة على أعمال القائمين بالإدارة والبت في قرارات الجمعية العامة للشركة، مع إمكانيةتقرير مسؤوليته تبعا لطبيعة خطئه فيما إذا كان خطأ مدنيا أو جزائيا، و تبعا لصفته في الشركة فيما إذا كان شريكا أو مسيرا

En se référant aux dispositions du droit commercial après la promulgation de la loi modifiée et complémentaire no. 15-20 du droit commercial, on peut dire que le législateur algérien a permis la possibilité de contribuer à une part de travail dans la société à responsabilité limitée, ce qui confere à l’actionnaire titulaire du droit de travail un role efficace dans le contrôle des administrateurs et d’intervenir dans les decisions de l’assemblé générale, avec la possibilité de déterminer sa responsabilité en fonction de la nature de sa faute, qu’il s’agisse d’une faute relevant du civile ou du pénale, et en fonction de son statut dans la Société, qu’il soit associé ou dirigeant.
